About the Organization
Baylor College of Medicine Children’s Foundation-Uganda (Baylor – Uganda) is a child health, not – for – profit NGO committed to delivering high quality, high impact and highly ethical paediatrics and family HIV&AIDS prevention, care and treatment services, health professional training and clinical research in Uganda. It is affiliated to Baylor College of Medicine International Paediatric AIDS Initiative (BIPAI) based at Texas Children’s Hospital in Houston, Texas, USA. It emerged from a technical capacity building support and partnership between BIPAI, Mulago Hospital Paediatric Infectious Diseases clinic (PIDC) and Makerere University Department of Paediatrics and Child health in August 2003. PIDC existed since 1988 as a Mulago hospital clinic offering Paediatric HIV&AIDS services. In November 2004, PIDC was officially initiated into the BIPAI network at their annual networking meeting in Gaborone, Botswana. In 2005, BIPAI signed memoranda of understanding with Ministry of Health, Mulago Hospital and Makerere University Department of Paediatrics and child health to support the expansion of paediatric and adolescent HIV services in Uganda. It was then that Baylor College of Medicine Children’s Foundation – Uganda (Baylor – Uganda) was formed and registered as a Non-Government Organization.
Job Description
Provide corporate governance and in house legal advisory services to Baylor Uganda.
The legal and governance coordinator will be responsible for ensuring that Baylor Uganda adheres to legal and regulatory requirements and that Baylor operates with good governance practices.
He/ She will work closely with the Executive Director, Board of Directors, and staff to ensure that the organization's operations comply with legal and regulatory requirements.
Duties and Responsibilities
Corporate and Board affairs
Offer legal advisory and governance expertise and guidance to the Board. Provide guidance and support to the Board of Directors on governance issues, including board development, governance training, and strategic planning.
Organize, prepare documentation, and record minutes of Board Meetings, Board Committee Meetings.
Coordinate Baylor Uganda’s annual general meetings and ensure compliance with legal and regulatory requirements.
Follow up on Board resolutions made during the Board meetings and ensure that they are implemented in a timely manner.
Facilitate the development and implementation of the Board annual work plan, and Board development plan.
Support the process of Board member recruitment, induction, orientation and development.
Support the process of the annual board performance assessment and ensuring results are integrated in the Board development plan.
Maintain statutory books, including minute books, registers of members, directors and secretaries and ensure compliance with all filing requirements of the registrar or companies.
In-House Legal Support:
Working with outsourced legal counsel, conduct legal research and provide legal opinions/guidance and advice on all legal matters pertaining to Baylor Uganda’s operations and business, particularly procurement and disposal processes, employment engagements, partnerships, interpretation and application of the Companies Act, The NGO Act and Regulations and other relevant legislation.
Review and monitor Baylor Uganda internal policies and ensure compliance with statutory/legal requirements.
Preparation and/or review of all Baylor Uganda legal documents, including contracts, agreements, and policies.
Conducting legal due diligence on procurement, employment etc. transactions that the organization intends to engage in.
Continuously monitoring compliance with organizational policies, standards and procedures as well changes in legal and regulatory framework and advising management accordingly.
Coordinate and manage the working relationship with the retained external legal counsel, regulatory bodies, and other relevant stakeholders.
Senior Management support
Take minutes and keep custody of minutes of the Senior Management Team meetings
Follow-up implementation of management actions arising from senior management team meetings.
Qualification, Experiences and Competencies
Bachelor’s degree in law from a recognized University and a Post Graduate Diploma in Legal Practice from Law Development Centre.
ICSA certification is an added advantage.
A minimum of five years of post-qualification experience preferably in an NGO or nonprofit organization.
